Within our services around investments and transactions we help you with transaction related tasks. For us, that can include the search for suitable investment assets or for suitable buyers but also can include specific support in negotiations or transaction preparation (collecting data and documents, data room organisation and management) or checking or documentation and coordination and evaluation due diligence and its results as well as transaction execution. Mandated Asset or Buyer Searches

When we are mandated to actively search for investment properties or buyer of properties we act as your representatives and in your interest. We act on your side only and in your best interest in the search and negotiation process.

Although this is typically an introduction service, it is not be to mistaken for a brokerage service. We advise and represent your interests (with or without power of attorney). Similar to a lawyer we act to represent your commercial interests.

Asset Searches and Buy Side Mandates

As part of an asset search, we are mandated to identify and select assets according to pre-defined criteria such as geographical location, asset type, investment strategy, etc.. Based on the results generated we compile, pre-select and pre-check suitable assets for a pipeline.

In a second step we can also make an informed selection, coordinate (pre-)due diligence and negotiate on our client’s behalf. In this step there is typically an overlap with our transaction management and due diligence services.

Buyer Search and Sell Side Mandates

For sell side mandates we identify a number of potentially suitable buyers and compile them into a long list. We then agree on a condendsed list of preferred target buyers into a short list. Theses potential buyers are then invited to look at the investment offer in a pre-defined format and process.

The defined format and process can range from an open market placement to a narrow and off-market approach. Depending on the specific interests of our client and the asset type, we can mutually agree on the best market approach. In any event, we hold ourselves bound to any agreed levels of confidentiality.

Suited to the approach to be taken, we can draw on our comprehensive investor database, use asset specific research or go through other established market channels such as intenet market places, etc.

Strategic / Tactical Transaction Management

We define strategic or tactical transaction management to start earlier the executional part of transaction management and as such it includes the development of a investment or product strategy.

To devise such a strategy we define specific parameters within the client’s framework that are drivers for a successful investment. We then match those parameters with the current market situation to ascertain that the stategy can be executed in real life market conditions.

The defined strategies are then translated into selection and decision criteria to form the basis for a successful and executionable investment approach.

The purpose of transaction management is to ensure thorough and efficient preparation and execution of a give transaction.

Depending on the particular situation the task can begin with the collection and preperation of asset documentation and assembly of a (virtual) data room as well as the processing of question and answers that arise during the course of a transaction process.

Design and creation of an acquisition oder sales process as well as buyer and seller communication including the contractual negoations up until the signing and execution of a sales and purchase agreement can be part of our transaction management services.

Due Diligence Management

Due diligence management encompasses the processes of checking all aspects of an asset drawing on a multidisciplinary team of internal and external advisors in disciplines such as legal, technical, environmental, commercial and tax. Key to a successful due diligence is to assemble a suitable and competent project team. It is important to define the scope of work for each discipline as clearly as possible, to instruct them on clear terms and to control the timely delivery of the agreed results. Eventually all results need to be consolidated into a management report highlighting any issues or important facts.

We perform such a due diligence management service on behalf of buyers who want to know what exactly they are buying or vendors who want to be prepared for negotiations.
